Terms & Conditions

Last updated: 31 August 2026

These Terms & Conditions (“Terms”) govern the use of imexfast.com (the “Website”) and enquiries submitted to IMEX FAST regarding sourcing, procurement, supplier coordination and related services.

The Website is operated by ТОВ “ІМЕКСФАСТ” (IMEXFAST LLC), a company registered in Ukraine (“IMEX FAST”, “we”, “us”, or “our”).

By using the Website or submitting a request, you agree to these Terms.

01

1. Our Services

IMEX FAST provides business-to-business sourcing and procurement support, which may include:

  • supplier and manufacturer sourcing;
  • supplier screening and verification;
  • quotation collection and commercial negotiation;
  • coordination of product specifications and samples;
  • procurement and order coordination;
  • coordination of documentation and compliance requirements;
  • coordination with suppliers, logistics providers, customs brokers and other third parties;
  • shipment and delivery coordination;
  • assistance with resolving issues arising during the sourcing and procurement process.

The exact scope of services for each project is determined separately based on the client's request and the commercial terms agreed between IMEX FAST and the client.

02

2. Business-to-Business Services

IMEX FAST primarily provides services to businesses, entrepreneurs, organisations and professional buyers.

Unless expressly agreed otherwise in writing, our services are not intended for purchases made primarily for personal, family or household purposes.

03

3. Requests for Quotation

Submitting a request, RFQ, specification, drawing, document or other information through the Website or by email constitutes a request for information or quotation only.

Submission of a request does not by itself create a binding obligation on IMEX FAST to source, supply, purchase or deliver any product or service.

Following review of a request, IMEX FAST may provide a quotation, proposal, sourcing offer or request for additional information.

A specific transaction becomes binding only when the applicable commercial terms have been accepted by the relevant parties in writing or electronically, or otherwise concluded in a legally recognised manner.

04

4. Quotations and Commercial Terms

Unless otherwise stated in a quotation, prices, lead times, availability, freight costs, duties, taxes and other commercial information are indicative and may change before an order is confirmed.

Quotations may be subject to:

  • supplier availability;
  • minimum order quantities;
  • raw-material and manufacturing costs;
  • exchange-rate movements;
  • transportation costs;
  • customs duties and taxes;
  • product specifications;
  • destination requirements;
  • regulatory or compliance requirements; and
  • other circumstances outside our reasonable control.

Where a quotation specifies a validity period, the quotation expires at the end of that period unless extended by IMEX FAST.

The terms contained in a specific quotation, purchase order, invoice, contract or other transaction document prevail over these Website Terms in the event of a conflict relating to that transaction.

05

5. Client Specifications and Approvals

The client is responsible for providing complete and accurate information regarding the requested product, including where applicable dimensions, materials, technical specifications, quantities, tolerances, packaging, labelling, destination and regulatory requirements.

The client is responsible for reviewing and approving specifications, samples, drawings, artwork, technical documentation or other product details before production or purchase where such approval is requested.

IMEX FAST is not responsible for errors resulting from incomplete, inaccurate or subsequently changed information supplied by the client.

06

6. Suppliers and Third Parties

IMEX FAST may work with independent manufacturers, suppliers, inspection companies, laboratories, logistics providers, freight forwarders, customs brokers and other third-party service providers.

We take commercially reasonable steps when selecting and coordinating third parties. However, unless expressly agreed otherwise, such third parties operate independently and are responsible for their own acts, omissions, products and services.

Supplier verification or screening performed by IMEX FAST reduces sourcing risk but does not constitute a guarantee of a supplier's future performance.

07

7. Product Compliance and Certification

Where relevant, IMEX FAST may assist in identifying and coordinating documentation, testing, certification or regulatory requirements relating to a product or destination market.

Unless expressly agreed otherwise in writing, IMEX FAST does not act as a certification body, testing laboratory, customs authority or regulatory authority and does not independently certify products.

The client remains responsible for determining whether a product is suitable and legally permitted for its intended use and destination, unless responsibility for a specific compliance requirement has expressly been assumed by IMEX FAST in writing.

08

8. Restricted and Regulated Goods

IMEX FAST reserves the right to refuse any sourcing or procurement request involving goods or transactions that are illegal, sanctioned, restricted, unsafe or otherwise incompatible with applicable laws, regulations or our internal compliance requirements.

Requests involving regulated products may require additional documentation, verification or compliance review before IMEX FAST can confirm whether the project can be accepted.

09

9. Orders and Payment

Payment terms, currency, deposits, balances, fees and other financial conditions are specified in the relevant quotation, invoice, purchase order or contract.

Unless otherwise agreed in writing, IMEX FAST is not required to commence procurement, production coordination or other paid work until the applicable advance payment or agreed fee has been received.

Bank charges, taxes, duties and similar costs are allocated according to the applicable commercial agreement or transaction documents.

10

10. Delivery and Lead Times

Production, shipping and delivery dates are estimates unless expressly confirmed as guaranteed in writing.

IMEX FAST may coordinate transportation and delivery but cannot guarantee events outside its reasonable control, including carrier delays, customs inspections, port congestion, supplier delays, strikes, border restrictions, regulatory actions or other disruptions.

Applicable delivery terms, including any agreed Incoterms® rule, will be specified in the relevant quotation, invoice, contract or other transaction documentation.

11

11. Inspection, Acceptance and Claims

Clients should inspect goods and documentation promptly upon receipt.

Any shortage, visible damage, specification discrepancy or other claim should be reported to IMEX FAST as soon as reasonably possible and within any claim period specified in the applicable quotation, contract, shipping document or other transaction terms.

IMEX FAST may request photographs, inspection reports, shipping documents, samples or other evidence reasonably necessary to investigate a claim.

The handling and resolution of a claim will depend on the circumstances of the relevant transaction and the applicable supplier, carrier, insurance and contractual terms.

12

12. Confidentiality

Information provided by clients in connection with sourcing requests, including specifications, drawings, commercial information and supplier requirements, will be handled with reasonable confidentiality.

Where necessary to perform the requested services, IMEX FAST may share relevant information with potential suppliers, manufacturers, logistics providers, professional advisers and other parties involved in evaluating or executing the project.

Where enhanced confidentiality is required, the parties may enter into a separate non-disclosure agreement.

13

13. Intellectual Property

The Website and its original content, branding, design, text and graphics are owned by or licensed to IMEX FAST and may not be reproduced or used for commercial purposes without permission.

Intellectual property supplied by a client remains the property of the client or its respective owner.

By providing drawings, trademarks, designs or other materials to IMEX FAST, the client confirms that it has the necessary rights to use those materials for the requested sourcing or manufacturing purpose.

14

14. Website Information

We aim to keep information on the Website accurate and current, but Website content is provided for general informational purposes.

Product categories, capabilities, sourcing regions, examples and other Website information do not constitute a binding offer or guarantee that a particular product can be sourced at a particular price or within a particular timeframe.

15

15. Limitation of Liability

To the maximum extent permitted by applicable law, IMEX FAST will not be liable for indirect, incidental, special or consequential losses arising from use of the Website or from circumstances outside IMEX FAST's reasonable control.

Any liability relating to a specific sourcing, procurement or supply transaction will be determined by the terms agreed for that transaction and applicable law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16

16. Force Majeure

IMEX FAST will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, war, hostilities, governmental actions, sanctions, embargoes, strikes, transportation disruption, port closures, epidemics, power or communications failures, supplier shutdowns or other comparable events.

Where such circumstances occur, we will use reasonable efforts to communicate relevant developments and coordinate practical alternatives where possible.

17

17. No Guarantee of Sourcing

Submitting a sourcing request does not guarantee that IMEX FAST will identify a suitable supplier or achieve a particular price, specification, quantity, certification, lead time or delivery schedule.

We reserve the right to decline a project where sourcing is commercially impractical, legally restricted or outside our operational capabilities.

18

18. Privacy

Personal information submitted through the Website or otherwise provided to IMEX FAST is processed in accordance with our Privacy Policy.

19

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices or legal requirements.

The current version will be published on the Website together with the date of the latest update.

20

20. Governing Law and Disputes

Unless otherwise agreed in writing for a specific transaction, these Terms are governed by the laws of Ukraine.

The parties should first attempt to resolve any dispute through good-faith negotiations.

Where a dispute cannot be resolved amicably, it will be resolved by the competent courts in accordance with applicable law, unless another dispute-resolution procedure or jurisdiction has been agreed in writing for the relevant transaction.
